Mutual NDA

Countersign our standard mutual NDA, or send yours and we will turn it around quickly. Routed through DocuSign so you have a clean audit trail.

Submit materials

Upload your deal documents through a secure intake portal dedicated to your engagement. Encrypted in transit and at rest, with access limited to your team and ours.

You set the pace. The portal stays open through Phase 1.

Schedule kickoff

A preview of our Data Request Checklist. The final list is tailored to your deal, the two organizations, and the scope of the engagement. Nothing on this page is a strict requirement. We work with what you can share.

Parent organization

  • Org chart and headcount (top 3 to 4 layers, ideally to manager level)
  • Executive team bios and tenure
  • Recent engagement, pulse, or culture survey results
  • Operating model overview or governance charter, if available
  • Strategy or three-year plan summary
  • Any prior integration playbooks or post-mortems

Target organization

  • Org chart and headcount, same depth as parent if available
  • Executive team bios, ownership, and tenure
  • Recent employee survey or culture data, if any
  • Deal thesis summary and synergy targets
  • Customer concentration and revenue mix
  • Compensation philosophy and key retention agreements

The deal

  • Investment thesis or sponsor memo (executive summary is fine)
  • Synergy model summary by category and timing
  • Day-one operating model intent: standalone, tucked in, or merged
  • Integration timeline and any go-live milestones
  • Names and roles of the integration leadership team on both sides

Optional, helpful if available

  • Diligence reports (commercial, HR, IT, ops) the sponsor can share
  • Recent board materials or operating reviews
  • Communications already issued to either workforce
  • Any prior M&A activity and lessons learned documents

If a document feels too sensitive to upload, flag it and we will discuss alternatives in the kickoff.

What sponsors usually ask.

Who sees our materials?

Only the named engagement team at Emergent. Your team and your portfolio company see only their own workspace. We never share materials across engagements or with third parties.

Can we use our own NDA?

Yes. Send it through and we will turn it around quickly. Most sponsor NDAs are signed within a day or two of receipt.

What if we are pre-signing and cannot share target materials yet?

Common situation. We can begin with your side of the materials and the deal thesis, then open up the workspace to the target once the sign-around lands.

How long does the portal stay open?

Through Phase 1 of the engagement, typically four to six weeks. We extend on request if Phase 2 work begins right after.

What happens to our materials at the end?

Your choice. We can return and destroy, or hold under a retention window you define. Either way, you get a written record of the disposition.

Can we send things by email instead?

For a single small item, sure. For anything beyond that, the portal is faster, safer, and easier to audit, and we recommend you use it.
